The African Diaspora Voters Education Board (ADVEB), LCA, PBC, operates as a 508(c)(1)(a) nonprofit public benefit corporation, rooted in the belief that the fulfillment of our mission aligns with both biblical and traditional African prophecies.
Our mission is to foster awareness and digital participation in the inaugural national election for the African Diaspora. We are established to launch the National Registry, which will evolve into a National Skills Database and voting system, ultimately transforming into the Digital Legislature for the African Diaspora.
The success of our efforts will usher in a globally recognized government administration with independent jurisdictional powers, empowering Black Americans and the entire African Diaspora. We call on all stakeholders with substantial marketing resources to unite with the African Diaspora Voters Education Board to spread the word and ensure the success of this historic election.
Section 2: Term and Continuity
The African Diaspora Voters Education Board (ADVEB) is established with a defined and focused mandate to launch the digital system that enables participation in the inaugural national election for the African Diaspora. The primary objective of ADVEB is to deploy the National Registry, which will evolve into a National Skills Database, voting system, and, ultimately, the Digital Legislature.
Upon the completion of the first election, ADVEB shall either be decommissioned or repurposed under the authority and discretion of the newly established African Diaspora Government. As ADVEB’s sole mission is to facilitate the launch of this system and empower participation, no further projects will be undertaken beyond this purpose. The dissolution or repurposing of ADVEB will ensure that governance and future initiatives align directly with the evolving needs and objectives of the African Diaspora Government.
Section 3: Build-Operate-Transfer Framework
The African Diaspora Voters Education Board (ADVEB) operates under a Build-Operate-Transfer (BOT) framework. ADVEB has acquired the Digital Legislature system outline, which will be used to facilitate the inaugural national election and lay the foundation for the African Diaspora Government.
As part of its mission, ADVEB will organize the STEM Department’s first national conference to identify the provisional STEM department. This department will be tasked with completing, securing, operating, and maintaining the Digital Legislature system until the official STEM Department Legislature is formally established under the African Diaspora Government.
Once the African Diaspora Government is constituted, ADVEB and all associated assets, including the Digital Legislature system and operational framework, will be transferred to the new government. ADVEB shall not be privatized or transferred to any individual, group, or private entity, ensuring that all resources remain committed to the public good and aligned with the mission of the African Diaspora Government.
Section 4: Governance and Oversight
The African Diaspora Voters Education Board (ADVEB) shall be governed by a Board of Directors, responsible for ensuring that all operations align with the mission, objectives, and values of the organization. The Board will oversee the launch and execution of the National Registry, the evolution of the Digital Legislature system, and all associated activities leading to the establishment of the African Diaspora Government.
ADVEB will operate with full transparency, providing regular updates on progress to stakeholders and the public. Internal governance policies shall include procedures for financial accountability, conflict resolution, and compliance with all applicable laws and standards.
The STEM Department’s provisional leadership, identified through ADVEB’s national conference, will maintain oversight of the Digital Legislature system until the official STEM Department Legislature assumes its role. This structure ensures continuity and stability throughout the transition period.
Once the African Diaspora Government is established, governance and oversight responsibilities will transfer from ADVEB to the newly formed government, aligning all systems and initiatives with the official governmental framework. Until that transfer is complete, ADVEB will remain accountable to the people of the African Diaspora and its mission of enabling full and fair participation in the election process.
Section 5: Membership and Participation
Membership in the African Diaspora Voters Education Board (ADVEB) is open to all individuals, organizations, and entities that meet the required qualifications. Eligible members must possess significant marketing resources or financial capacity to support the promotion of the first national election for the African Diaspora. Members are expected to actively contribute through strategic outreach, awareness campaigns, or financial support, aligned with the mission of ADVEB.
The general public is also encouraged to participate by registering through the National Registry, motivating friends and family to register, sharing ADVEB’s initiatives, and contributing donations toward the election effort. This ensures that every member of the African Diaspora has the opportunity to engage meaningfully in this historic process.
All members and participants are required to uphold ADVEB’s standards and mission, ensuring that the election is carried out with transparency, unity, and integrity. Any member found engaging in activities that cause confusion, disrupt the mission, or fail to meet ADVEB’s standards may have their membership terminated.
Following the election and the establishment of the African Diaspora Government, all membership responsibilities and participation frameworks will transfer to the new government to ensure continuity and alignment with future governance. Until then, ADVEB members play a critical role in supporting the development and deployment of the digital infrastructure necessary for the success of this election.
Section 6: Financial Management and Accountability
The African Diaspora Voters Education Board (ADVEB) is committed to maintaining the highest standards of financial management, accountability, and transparency. All funds received, including membership contributions, donations, and grants, will be allocated exclusively to activities that align with ADVEB’s mission to facilitate the first national election of the African Diaspora.
A financial oversight committee will monitor the allocation and use of resources, ensuring expenditures remain consistent with the organization’s goals. Regular financial reports will be made available to members and relevant stakeholders, ensuring transparency in how funds are utilized.
ADVEB will comply with all applicable nonprofit laws and regulations governing its operations. Financial audits will be conducted annually to ensure the proper use of funds and identify opportunities for improved financial management.
Should the United States of Africa and the African Central Bank become activated and fully operational before the establishment of the Digital Legislature, all expenses associated with the rollout of ADVEB’s initiatives may be covered by the African Finance Regulatory Authority or the African Central Bank.
Upon the completion of its mission, any remaining financial resources and assets will be transferred to the African Diaspora Government for continued use in service of the public good. Under no circumstances will ADVEB’s assets or funds be privatized, misappropriated, or used for purposes unrelated to its core mission.
Section 7: Roles and Responsibilities
The African Diaspora Voters Education Board (ADVEB) assigns specific roles and responsibilities to ensure the efficient execution of its mission and the smooth transition of its operations to the African Diaspora Government.
a. Board of Directors:

b. Executive Leadership:
The executive leadership team, including the President, Vice President, and other officers, is responsible for the day-to-day management of ADVEB’s operations. They will coordinate the launch of the National Registry, organize the first national STEM conference, and oversee the rollout of the Digital Legislature system.
c. STEM Department Leadership:
ADVEB will organize a national conference to select the provisional STEM department, tasked with completing, securing, and maintaining the Digital Legislature system until the official STEM Department Legislature is established under the African Diaspora Government. This leadership will ensure continuity of operations and system integrity throughout the transition.
d. Members and Stakeholders:
Members with marketing expertise or financial capacity are responsible for actively contributing to the promotion of the election and voter registration efforts. Stakeholders, including community leaders and influencers, will support public outreach, ensuring maximum participation from the African Diaspora.
e. Public Participants:
The general public will contribute to the success of ADVEB’s mission by registering to vote through the National Registry, encouraging others to register, and sharing ADVEB’s initiatives. Their participation is critical to ensuring that the first national election reflects the collective voice of the African Diaspora.
Once the African Diaspora Government is established, all roles, responsibilities, and operations will be transferred to the new government to ensure seamless continuity. ADVEB leadership will facilitate this transfer, ensuring that the systems, processes, and frameworks developed under its administration are maintained and expanded under the new governmental structure.
Section 8: Compliance, Legal Framework, and Diplomatic Status
The African Diaspora Voters Education Board (ADVEB), LCA, PBC, is recognized as a competent authority of the Provisional African Diaspora Government organization, endowed with legal personality. While executing its functions, ADVEB shall enjoy standard diplomatic privileges and immunities in accordance with international norms, ensuring it can perform its duties without obstruction.
ADVEB operates in compliance with all applicable laws governing nonprofit organizations, including its designation as a 508(c)(1)(a) public benefit corporation. The organization is committed to full transparency, ethical conduct, and accountability in all operations.
All members, stakeholders, and participants are required to adhere to ADVEB’s policies and standards to maintain the integrity of the election process and align with the organization’s mission. Noncompliance or activities that hinder the election’s success may result in termination of membership or other corrective measures, as determined by the Board of Directors.
The intellectual property and assets developed under ADVEB’s administration, including the Digital Legislature system, are protected by the organization’s governance framework. These assets shall be transferred to the African Diaspora Government upon its establishment and shall not be privatized, misappropriated, or used for unauthorized purposes.
Disputes arising from ADVEB’s activities will be resolved through mediation or arbitration before resorting to legal action, in accordance with the organization’s values of unity, cooperation, and accountability.
Section 9: Communication and Public Relations

In doing so, ADVEB seeks to avoid confusion and ensure that the public can clearly distinguish its initiatives from those of other entities using similar language or themes.
Members and stakeholders are encouraged to share ADVEB’s messaging but must do so in accordance with the organization’s communication policies to maintain a unified and professional representation of its mission. Unauthorized or misleading use of ADVEB’s name, assets, or materials will be subject to corrective action.
ADVEB will continue to update the public on the progress of its initiatives and the transition to the African Diaspora Government, ensuring full transparency and accountability throughout the process.
Section 10: Dissolution and Transfer of Operations
The African Diaspora Voters Education Board (ADVEB) is established with a focused mission to launch and oversee the voter registration system, facilitate the first national election of the African Diaspora, and lay the groundwork for a globally recognized government administration. Upon the successful completion of the election and the establishment of the African Diaspora Government, ADVEB will be dissolved or repurposed under the new government’s direction.
All assets, systems, and intellectual property developed or acquired by ADVEB, including the Digital Legislature system and National Registry, will be transferred to the African Diaspora Government. This ensures that all operational infrastructure remains in public service, supporting the newly formed government’s efforts to govern effectively and fulfill its mandate.
ADVEB shall not retain any authority or operational control following the transfer. In the event that the transfer is delayed or circumstances prevent the immediate formation of the African Diaspora Government, ADVEB will continue its operations in a provisional capacity, ensuring continuity and stability until the transition is completed.
Under no circumstances shall ADVEB’s assets, operations, or intellectual property be privatized, sold, or used for purposes outside of its original mission. Any remaining financial resources after the transfer will also be allocated to the African Diaspora Government to further support its objectives and initiatives.
This dissolution and transfer process is integral to ADVEB’s Build-Operate-Transfer framework, ensuring that the organization fulfills its mission and seamlessly transitions all operations to the African Diaspora Government.
Section 11: Amendments and Revisions
The mission and mandate of the African Diaspora Voters Education Board (ADVEB) are immutable and cannot be amended under any circumstances. The limitations of ADVEB’s mandate, as well as the components and authorizations necessary to launch the digital system and organize sufficient community support for the establishment of the official African Diaspora Government, are fully defined within this charter.
While minor amendments may be proposed to address operational needs or improve efficiency, no revisions will be permitted that alter the core mission, expand the limitations of ADVEB’s mandate, or authorize activities beyond the scope of this charter. This safeguard is in place to prevent the misuse or abuse of power by the provisional team and ensure that ADVEB remains fully aligned with its original purpose.
All amendments must be reviewed and approved by the Board of Directors and communicated promptly to members, stakeholders, and the public. Any proposed changes must remain consistent with the principles of transparency, accountability, and public service outlined in this charter.
In the event of a transition to the African Diaspora Government, any further adjustments to this charter will be subject to the oversight and approval of the new government. Until the transition is complete, ADVEB will continue to operate in full compliance with the terms and limitations set forth in this charter.
Section 12: Financing Provisional Activities
All members and contractors of the African Diaspora Voters Education Board (ADVEB) are responsible for financing their own initiatives using private capital, grants, loans, or other available funding sources. ADVEB encourages members to promote and support the mission according to their individual capacity and resources, ensuring collective progress toward the inaugural election.
Members may also offer products and services directly to ADVEB under a deferred payment arrangement. Invoices for such contributions can be submitted for reimbursement by the African Diaspora Government once it is established. To honor these contributions, invoices may be eligible for up to a 100% increase in value, effectively doubling the amount for products and services provided in alignment with the mission and mandate.
ADVEB may finance its operations once it secures capital through donations, sponsorships, or other funding sources. Public donations will be held in escrow by a reputable law firm to ensure proper oversight, with disbursements limited to activities aligned with ADVEB’s mission. All funds will be subject to strict auditing and reporting requirements to maintain transparency and accountability.
Misuse of funds or actions outside the scope of ADVEB’s charter will result in corrective measures, including potential termination of membership and legal action. This financing framework empowers members and contractors to act independently, ensuring fair compensation while upholding financial integrity throughout ADVEB’s operations.
Section 13: Reporting and Accountability
The African Diaspora Voters Education Board (ADVEB) is committed to transparency and accountability in all aspects of its operations. Regular reports on progress, financial activities, and key initiatives will be made available to members, stakeholders, and the public to ensure clarity and trust in the organization’s mission.
ADVEB will issue periodic operational and financial reports, detailing the status of the voter registration efforts, system rollouts, partnerships, and community engagement campaigns. These reports will also outline any funds collected through donations or sponsorships, ensuring that all disbursements align with the mission and mandate.
The law firm managing ADVEB’s escrow account will provide independent oversight and regular audits of all financial transactions, verifying that donated funds are allocated solely for purposes outlined in the organization’s charter. Members and contractors offering products or services to ADVEB under deferred payment arrangements will be required to submit detailed invoices and progress reports. While members are not required to submit their marketing plans to ADVEB’s marketing director for approval, the director will issue advisory guidelines to ensure alignment with the organization’s core messaging and values.
b. Cross-Referencing Advisory Guidelines:
All members should cross-reference their campaigns with the advisory guidelines before publishing to maintain consistency and coherence with ADVEB’s messaging. These guidelines will be periodically updated to reflect strategic priorities, and members will be informed of any significant changes to ensure their campaigns stay aligned.
c. Professionalism and Integrity:
All marketing activities should reflect the principles of unity, empowerment, and inclusivity. Campaigns must avoid misleading information, divisive language, or any content that could undermine the integrity of ADVEB’s mission.
d. Collaboration in Marketing Efforts:
Members are encouraged to collaborate and share insights to amplify the effectiveness of their marketing initiatives. Constructive collaboration strengthens the unity of ADVEB’s efforts and maximizes outreach.
e. Corrective Measures for Non-Compliance:
If a marketing campaign is found to conflict with ADVEB’s mission or advisory guidelines, the marketing director may intervene with recommendations. In cases where misaligned campaigns pose a significant risk to the mission, further corrective actions may be taken, including temporary suspension of privileges.

All data collected through the National Registry, marketing campaigns, and other activities will be used exclusively for purposes aligned with ADVEB’s mission. Personal information will not be shared, sold, or used for purposes outside the scope of voter registration, public engagement, and community support efforts.
b. Security Measures:
ADVEB will implement robust security measures to protect the integrity and confidentiality of all data, including encryption, restricted access, and regular security audits. Any breaches or potential risks will be reported promptly to affected individuals and stakeholders, with immediate action taken to mitigate damage.
c. Access to Data:
Only authorized personnel, including relevant ADVEB officers, contractors, and the provisional STEM department, will have access to sensitive data. Access will be granted on a need-to-know basis to ensure the integrity of operations while protecting personal information.
d. Transition of Data to the African Diaspora Government:
Upon the establishment of the African Diaspora Government, all data collected by ADVEB will be securely transferred to the new government. The data will be used exclusively for the governance and service of the African Diaspora community. ADVEB will ensure a seamless and secure handover to prevent any loss or misuse of information.
e. Public Rights and Transparency:
Participants and registrants will have the right to access and request corrections to their personal data. ADVEB will maintain transparency in how data is used, and a privacy policy outlining data management practices will be made publicly available.

Section 16: Dispute Resolution
The African Diaspora Voters Education Board (ADVEB) is committed to resolving disputes efficiently and fairly, in a manner consistent with its mission of unity and cooperation. All members, contractors, and participants agree to engage in good faith efforts to resolve conflicts internally before pursuing legal action.
a. Mediation and Arbitration:
In the event of a dispute, ADVEB encourages parties to engage in mediation facilitated by an impartial mediator, either appointed by ADVEB or mutually agreed upon by the parties involved. If mediation does not result in a resolution, the dispute may proceed to binding arbitration in accordance with established arbitration laws and frameworks.
b. Jurisdiction and Venue:
Any arbitration or legal proceedings will be conducted in a neutral jurisdiction, to be determined based on the nature of the dispute and the involved parties. Once the African Diaspora Government is established, it may assume jurisdiction over disputes involving ADVEB’s operations and activities, particularly those affecting the transition of assets and governance. d. Good Faith Negotiations:
All parties are expected to negotiate in good faith and strive toward solutions that align with the mission and values of ADVEB. e. Costs and Fees:
Unless otherwise agreed, each party involved in a dispute will bear its own costs and legal fees. In cases of arbitration, the arbitrator’s fees and other related expenses will be shared equally unless the arbitrator determines a different allocation based on the circumstances of the case.

Section 17: Intellectual Property, Systems, and Identification Issuance
All intellectual property developed, acquired, or utilized by the African Diaspora Voters Education Board (ADVEB) in the execution of its mission shall be held in trust for the benefit of the African Diaspora community. This includes, but is not limited to, the Digital Legislature system, the National Registry, marketing materials, educational content, and all other systems and frameworks essential to the organization’s objectives.
a. Ownership Transfer to the African Diaspora Government:
Upon the establishment of the African Diaspora Government, all intellectual property, operational systems, and digital frameworks managed by ADVEB will be transferred to the new government to ensure continuity and public benefit. None of these assets shall be privatized, sold, or transferred to any private entity under any circumstances.
b. Use of Intellectual Property by Members and Contractors:
Members and contractors contributing to ADVEB may develop tools, content, and services that align with the mission. However, all intellectual property produced as part of these contributions will be integrated into ADVEB’s collective resources and governed under this charter. Deferred payment arrangements for such services will be honored in accordance with the framework outlined in Section 12.
c. Licensing and Protection of Intellectual Property:
ADVEB retains the right to license its intellectual property to third parties, provided the partnership aligns with the organization’s mission and objectives. The organization will enforce legal protections to prevent unauthorized use, reproduction, or distribution of its assets.
d. Mandate of the Provisional STEM Department:
The provisional STEM department, identified through ADVEB’s national conference, will be tasked with securing, operating, and maintaining the Digital Legislature system. Additionally, it will have the mandate to issue identification cards and passports to registered citizens of the African Diaspora, ensuring that participants receive proper documentation as part of the evolving governance structure. This role will remain with the provisional STEM department until the official STEM Department Legislature is established under the African Diaspora Government.
e. Legacy and Public Benefit:
All systems, materials, and intellectual property managed by ADVEB will remain committed to advancing the public good, ensuring that the infrastructure we build today serves the future governance and empowerment of the African Diaspora community.

Any member, contractor, or participant found engaging in such activities will face immediate disciplinary action, including termination of membership or contracts, and may be subject to legal action.
